Ethics and Integrity as a Way of Working

Ethics and responsible conduct are embedded across operations through a formal Code of Conduct that applies to employees, directors and senior executives, with annual affirmations by Board members and senior management. The Code emphasises integrity, legal compliance, respect and conflict-of-interest disclosure, and is reinforced through regular organisation-wide training. Compliance expectations extend across the wider ecosystem as well—suppliers, vendors and logistics partners are required to follow the same standards, with adherence monitored and non-compliance triggering corrective action.

Speak-Up, Vigilance and Grievance Redressal

To ensure concerns can be raised early and addressed fairly, we maintain a Whistle Blower Policy and an Ombudsman/Vigil mechanism for reporting fraud, unethical behaviour, Code of Conduct violations and other misconduct without fear of retaliation or victimisation. The mechanism provides safeguards for complainants and includes direct access to the Chairperson of the Audit Committee; the Audit Committee periodically reviews how the policy and process function.

Anti-Bribery and Anti-Corruption Controls

Ethical intent is backed by control systems. Anti-bribery and anti-corruption practices are supported through internal audits, risk-based compliance monitoring, supplier/vendor Code of Conduct evaluations, and training on ethical business practices. FY 2025 reporting

Responsible Supply Chain Governance

Governance extends beyond our boundaries into procurement and supplier engagement. ESG principles are integrated into supply-chain processes through measures such as supplier screening, digital procurement, capacity building and ESG-led evaluations—so traceability, transparency and ethics are strengthened across the network that supports our operations.

Information Security and Cyber Governance

Operational resilience also depends on protecting information assets. We maintain information-security and business-continuity frameworks supported by regular vulnerability assessments, internal IT audits and independent external audits aligned with ISO 27001:2013 across plants. FY 2025 reporting notes 0 cybersecurity breaches and 100% IT infrastructure certified to ISO 27001:2013. Cybersecurity governance oversight sits with the Board’s Risk Management Committee, and execution is led by the Chief Information Security Officer (CISO), including mandatory cybersecurity training for new employees during onboarding.

Transparent Market Conduct and Disclosures

For listed-entity governance, we maintain defined controls around disclosures and trading conduct. The Annual Report details the Company’s Code of Conduct for prevention of insider trading, including controls such as a Structured Digital Database with timestamps and audit trails, monitoring of trading by Designated Persons, and independent review of compliance by secretarial auditors. It also outlines the Code of Fair Disclosures for prompt and uniform dissemination of UPSI, and a Policy for Determining Materiality of Events and Information to support timely and adequate disclosures to stock exchanges.
